These Terms & Conditions (“Agreement”) govern your access to and use of the services offered by KYsee.io (“KYsee”, “we”, “us” or “our”), including our identity verification, AML/PEP screening, Proof of Address checks, API, dashboard, and related services (collectively, the “Services”).
By registering for, accessing, or using the Services, you (“Client”, “you”, or “your”) agree to be bound by this Agreement.
- Definitions
“Client Data” means personal data, identity information, documents, or other information provided by Client for processing through the Services.
“Documentation” means manuals, guides, and help resources provided by KYsee in any form.
“Order Form” means a document or online form specifying Service subscriptions, pricing, payment terms, and other transaction details between you and KYsee.
“Service(s)” means any SaaS offerings provided by KYsee, including APIs, dashboards, integrations, verifications, screenings, and analytics.
- Services
2.1 Provision of Services. KYsee will make the Services available to Client pursuant to this Agreement and the applicable Order Form.
2.2 Modifications. KYsee may update Services and Documentation, provided that material degradations in functionality not permitted under reasonable commercial practice will not be made without Client’s consent.
- Client Responsibilities
3.1 Account Registration. Client will provide complete and accurate information when registering for Services.
3.2 Compliance. Client is responsible for ensuring its use of the Services — including the legality of processing any personal data — complies with applicable laws and regulations (e.g., data protection, identity verification, sanctions/AML requirements).
3.3 User Credentials. Client is responsible for safeguarding its credentials and granting access only to authorized users.
- Fees & Payments
4.1 Fees. Client agrees to pay all fees described in the applicable Order Form.
4.2 Billing. Fees are invoiced in the billing cycle specified in the Order Form. Unless otherwise stated, all payments are due in USD.
4.3 Late Payments. Overdue amounts accrue interest at the lesser of 1.5% per month or the maximum permitted by law.
4.4 Taxes. Fees exclude taxes; Client is responsible for all applicable taxes except taxes on KYsee’s net income.
- Data Protection & Legal Compliance
5.1 Processing Roles. When Client uses Services to process Client Data, Client acts as the data controller and KYsee as a data processor.
5.2 DPA. The parties will enter into a Data Processing Addendum governing GDPR or other data protection legal requirements.
5.3 Privacy Practices. KYsee’s Privacy Policy governs KYsee’s collection and use of personal data when acting as a controller (e.g., for its own website).
5.4 Client Obligations. Client is solely responsible for:
(a) obtaining all necessary consents and lawful grounds;
(b) defining processing instructions;
(c) ensuring Client Data’s lawfulness.
- Intellectual Property
6.1 Ownership. KYsee retains all rights, title, and interest in the Services, Documentation, trademarks, and software.
6.2 License. Subject to this Agreement, KYsee grants Client a non-exclusive, non-transferable license to access and use the Services during the term.
- Confidentiality
7.1 Definition. “Confidential Information” means proprietary business, technical, or financial information, excluding information in the public domain.
7.2 Protection. Both parties agree to protect Confidential Information with the same care as their own and not disclose it except as permitted in the Agreement.
- Warranties & Disclaimers
8.1 Service Warranty. KYsee warrants that it will perform the Services in a professional manner consistent with industry standards.
8.2 Disclaimers. Except for the express warranties above, the Services are provided “as is” and KYsee disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose.
- Limitation of Liability
9.1 Exclusion of Damages. To the extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages.
9.2 Cap on Liability. KYsee’s aggregate liability will not exceed the total fees paid by Client under the Order Form in the 12 months preceding the claim.
- Indemnification
Client will indemnify and hold KYsee harmless from any claims, liabilities, or losses arising out of Client’s use of the Services, Client Data, or violation of applicable laws.
- Term & Termination
11.1 Term. This Agreement begins on the Effective Date and continues until all subscriptions expire or are terminated.
11.2 Termination for Cause. Either party may terminate if the other materially breaches the Agreement and fails to cure within 30 days of written notice.
11.3 Effects of Termination. Upon termination, Client’s access to the Services ceases and KYsee may delete or archive Client Data per its data retention policy.
- Governing Law & Dispute Resolution
This Agreement is governed by the laws of Cyprus. Disputes will be resolved in the competent courts of the chosen jurisdiction.
- Notices
Notices will be sent to the address or email specified in the Order Form or account registration.
- Miscellaneous
14.1 Assignment. Client may not assign its rights without KYsee’s consent.
14.2 Entire Agreement. This Agreement and related Order Forms constitute the entire agreement and supersede prior agreements.
14.3 Severability. If any provision is unenforceable, the remainder remains in full force.
